Terms of Use
1. Agreement
These Website Terms of Use (“Terms”) govern your access to and use of the website located at facetinteractive.com and any related subdomains (collectively, the “Site”), operated by Facet Interactive, LLC (“Facet,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. About Facet Interactive
Facet Interactive is a digital agency and managed service provider (MSP). We do not offer self-service software products through the Site. Our services — including web development, design, hosting, managed services, and related consulting — are delivered to clients under separately executed written agreements.
3. Services Governed by Separate Agreements
Nothing on the Site constitutes an offer to provide services, a binding proposal, or a contract. All Facet services are provided solely under one or more of the following client agreements, which are negotiated and executed between Facet and each client:
· Master Service Agreement (MSA) — governs the overall commercial relationship.
· Professional Services Agreement (PSA) — governs time-and-materials or retainer-based consulting engagements.
· Statement of Work (SOW) — defines scope, deliverables, fees, and timelines for specific projects.
· Service Order or equivalent ordering document — issued under an active MSA or PSA.
In the event of any conflict between these Terms and an executed MSA, PSA, SOW, or Service Order, the executed agreement controls with respect to the services it governs.
4. Permitted Use of the Site
You may use the Site to:
· View information about Facet and its services.
· Contact Facet through published forms or email addresses.
· Access resources Facet makes publicly available (articles, case studies, documentation).
You may not:
· Use the Site for any unlawful purpose or in violation of these Terms.
· Attempt to gain unauthorized access to any portion of the Site, its servers, or related infrastructure.
· Probe, scan, or test the vulnerability of the Site without Facet’s prior written authorization.
· Interfere with or disrupt the Site, including by distributing malware, conducting denial-of-service attacks, or introducing automated systems that place unreasonable load on the Site.
· Scrape, harvest, or collect data from the Site by automated means without Facet’s prior written consent.
· Misrepresent your identity or affiliation with any person or organization.
· Use the Site to transmit unsolicited commercial communications.
Authorized security research is welcomed through the reporting channel described in Section 11.
5. Intellectual Property
The Site and its content — including text, graphics, logos, images, code, and design elements — are owned by Facet Interactive or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any portion of the Site without Facet’s prior written consent.
“Facet Interactive” and associated logos are trademarks of Facet Interactive, LLC. Other names and marks referenced on the Site belong to their respective owners.
6. User Submissions
If you submit information to Facet through the Site (for example, through a contact form), you represent that the information is accurate and that you have the right to provide it. Do not submit confidential, proprietary, or sensitive information through public forms. Information provided through the Site prior to execution of a client agreement is not subject to a duty of confidentiality unless Facet has otherwise agreed in writing.
7. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by Facet. Facet is not responsible for the content, privacy practices, or availability of third-party sites. Your use of third-party sites is governed by their own terms.
8. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FACET DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Facet does not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is accurate, complete, or current. Information on the Site is provided for general informational purposes only and does not constitute professional advice.
These disclaimers do not limit or modify any warranties Facet has expressly provided in an executed MSA, PSA, SOW, or Service Order.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACET AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF FACET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Facet’s total liability to any user of the Site (in the absence of an executed client agreement) is limited to one hundred U.S. dollars ($100).
Liability for services delivered under an executed MSA, PSA, SOW, or Service Order is governed exclusively by that agreement.
10. Indemnification
You agree to indemnify and hold Facet harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms or your misuse of the Site.
11. Security Reporting
To report a security vulnerability affecting the Site, contact [email protected]. Facet supports responsible disclosure and will not pursue legal action against researchers who act in good faith, avoid harm to users and data, and allow reasonable time for remediation before public disclosure.
General concerns about misconduct or policy violations may also be submitted through Facet’s anonymous reporting channel described in the Whistleblower Policy.
12. Privacy
Your use of the Site is also subject to Facet’s Privacy Policy, which describes how Facet collects, uses, and discloses information. The Privacy Policy is published at facetinteractive.com/privacy and incorporated into these Terms by reference.
13. Modifications
Facet may update these Terms from time to time. Material changes will be communicated by updating the “Effective Date” above and, where practical, by notice on the Site. Continued use of the Site after an update constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of California without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
This Section 14 does not govern disputes arising under an executed MSA, PSA, SOW, or Service Order, which are governed by the dispute-resolution and governing-law terms of that agreement.
15. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
16. Entire Agreement (Website Use)
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Facet regarding your use of the Site. They do not supersede, modify, or replace any separately executed MSA, PSA, SOW, or Service Order, which remain the exclusive agreements governing Facet’s services.
